Message	that deposit is his promise that he is buying the car. if he backs out, he has to pay the oppurtunity cost that you took of not selling the car to anyone else. that oppurtunity cost you lost is his $200. keep it, it's yours. he cannot take any legal action if you have it in writing. good job.
